Terms of Service

1. Who we are

BotStudio ("BotStudio," "we," "us") is a product of Good Fellas Agency, based in Roswell, Georgia, USA. These Terms of Service ("Terms") govern your use of botstudio.us, app.botstudio.us, the BotStudio chatbot widget, the BotStudio Community and course, and any related services (together, the "Service").

2. Accepting these terms

By requesting a demo, creating an account, making a purchase, or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service for a business, you confirm you are authorized to bind that business, and "you" means both you and the business. You must be at least 18 years old.

3. The service

BotStudio lets you build, customize and deploy AI chatbots on your website. Depending on your plan, features may include the Flow Builder, AI responses, AI Actions, integrations, AutoFlows, MCP access for AI assistants, templates, analytics, lead capture and branding controls. We may add, change or remove features over time. We will try to give notice before removing a feature you rely on in a material way.

Free demo bots are provided for evaluation only, may be rate-limited, and may be deleted at any time.

4. Accounts

• You must give accurate information and keep it current.
• You are responsible for everything done under your account, including by teammates, contractors and AI assistants you connect through MCP or API access.
• Keep your login and any API or MCP credentials secure. Tell us right away at [email protected] if you suspect unauthorized access.
• On the Agency plan you may build and manage bots for your own clients from your account. You remain responsible for those bots, your clients' use of them, and compliance with these Terms. Your clients do not receive their own BotStudio accounts or a direct relationship with us unless agreed in writing.

5. Plans, billing and renewals

• Paid plans (Basic, Advanced, Pro, Agency and Done-For-You) are billed in advance in U.S. dollars at the price shown at checkout, monthly or annually.
• Subscriptions renew automatically each billing period until cancelled. By purchasing, you authorize us and our payment processor to charge your payment method on each renewal.
• Prices exclude taxes unless stated. You are responsible for applicable taxes.
• We may change prices with at least 30 days' notice by email. Changes apply at your next renewal after the notice period. If you don't agree, cancel before the change takes effect.
• To change plans, contact us at [email protected]. Upgrades take effect when applied. Downgrades take effect at your next billing period and may reduce limits or features (for example, number of bots or removal of branding controls).

6. Failed payments and suspension

If a renewal payment fails, we will email you and retry. You have a 3-day grace period to update your payment method. If payment is not recovered by then, your account is automatically suspended: you won't be able to log in and your bots stop answering visitors. When payment is recovered, your account is restored automatically.

Suspension does not delete your bots, flows or settings. See section 19 for how long we keep data after an account ends.

7. Cancellation and refunds

• You can cancel a subscription at any time from your customer portal or by emailing [email protected].
• When a subscription ends, your account is suspended. Your bots stop answering and you lose access to paid features.
• Subscription fees already paid are non-refundable, including for partial periods, except where required by law or where we choose to issue a refund at our discretion.
• If a refund is issued, the related account is suspended.
• Chargebacks filed without first contacting us may result in immediate suspension.

8. Done-For-You service

The Done-For-You plan includes a one-time setup fee and a monthly management fee.

• The setup fee is non-refundable once we begin work on your build, which starts when you submit your intake form or when we start building, whichever is earlier.
• You agree to provide the information, content, approvals and website access we reasonably need. Delays in providing these may delay delivery.
• The monthly fee covers hosting, monitoring and reasonable updates to your bot's content and flow. Major rebuilds, new bots or custom integrations may be quoted separately.
• You are responsible for reviewing and approving your bot before it goes live, including its answers, offers, prices and any regulated statements.
• If you cancel, the bot is turned off at the end of your paid period.

9. Your content and your visitors' data

You own your content. "Your Content" means the information you provide or upload (such as website text, documents, flows, branding and instructions) and the data your bots collect from your website visitors ("Visitor Data"), such as names, emails, phone numbers, answers and chat transcripts.

• You grant us a limited license to host, process, transmit and display Your Content only as needed to provide, secure and support the Service.
• For Visitor Data, you are the business responsible for that data and we process it on your behalf and under your instructions.
• We never sell Visitor Data, and we never share one customer's data with another customer.
• You are responsible for having a lawful basis to collect Visitor Data, for giving visitors any notices your local laws require (BotStudio includes a configurable privacy notice and consent option), and for honoring their requests about their data.
• Do not use the Service to collect payment card numbers, government ID numbers, passwords, protected health information, or other sensitive data unless we have agreed in writing that your account is set up for it. BotStudio is not offered as a HIPAA-compliant service and we do not sign Business Associate Agreements unless agreed in a separate written contract.

10. AI output

BotStudio uses third-party artificial intelligence models to generate responses. AI output can be inaccurate, incomplete or inappropriate, even with the guardrails you or we configure.

• You are responsible for testing your bot, reviewing its instructions and knowledge, and deciding where and how it is used.
• Do not rely on bot responses as professional medical, legal, financial or safety advice, and configure your bot so it does not present itself that way.
• Actions your bot takes through AI Actions, webhooks, integrations or MCP connections (for example, booking appointments or sending data to other software) are taken on your behalf and at your direction. You are responsible for the systems you connect and for checking that actions work as intended.

11. Acceptable use

You agree not to use the Service to:

• Break any law, including privacy, consumer protection, telemarketing (such as the TCPA), anti-spam (such as CAN-SPAM) and anti-discrimination laws.
• Deceive visitors, including by pretending the bot is a human when sincerely asked, impersonating another person or business, or publishing fake reviews or testimonials.
• Collect data from minors under 13, or target children.
• Send spam, phishing, malware, or harassing, hateful, sexually explicit or violent content.
• Gate or filter reviews in a way that violates review platform policies.
• Interfere with, overload, reverse engineer, scrape or try to gain unauthorized access to the Service or its underlying providers.
• Resell, sublicense or share account access to the Service, except that Agency plan customers may build and operate bots for their own clients as described in section 4.

We may remove content, disable bots, or suspend accounts that we reasonably believe violate this section.

12. Third-party services

The Service relies on and connects to third-party providers, such as hosting and chatbot infrastructure, AI model providers, payment processors and integrations you choose (for example, Google Sheets, Make, Zapier or your CRM). Your use of third-party services is subject to their terms. We are not responsible for third-party services, their availability, or changes they make. See our Privacy Policy for the providers we use.

13. Usage limits

Each plan includes limits, such as number of bots, monthly responses and AI tokens, as described on our pricing page. When a limit is reached, features may stop working until the next billing period or until you upgrade. Spam protection settings may also limit chats.

14. No guarantee of results

We do not guarantee any number of leads, appointments, sales, reviews, revenue or other business result. Examples, demos and sample conversations show how the Service can work, not what you will achieve.

15. Intellectual property

We and our licensors own the Service, including the software, design, templates, course materials and BotStudio brand. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. Templates you import may be customized and used for your own bots. If you send us feedback or suggestions, we may use them without obligation to you.

16. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR AI OUTPUT WILL BE ACCURATE, UNINTERRUPTED OR ERROR-FREE.

17. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, LEADS, DATA OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

18. Indemnification

You agree to defend and indemnify BotStudio and Good Fellas Agency against claims, losses and expenses (including reasonable attorneys' fees) arising from Your Content, your bots' conversations and actions, your clients' use of bots you build (on the Agency plan), your collection and use of Visitor Data, or your breach of these Terms or the law.

19. Termination and data retention

• You may stop using the Service at any time.
• We may suspend or terminate your account for non-payment, for violating these Terms, or if required by law, with notice where reasonable.
• After an account is suspended or cancelled, we keep your bots and data for 90 days so you can reactivate. After that we may delete them. You can ask us to delete your data sooner, or export your leads before cancelling.
• Sections that by their nature should survive termination (including 9, 10, 14 through 18 and 20) survive.

20. Governing law and disputes

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-law rules. Before filing a claim, you agree to contact us at [email protected] and try to resolve the dispute informally for 30 days. Any claim that is not resolved will be brought exclusively in the state or federal courts located in Fulton County, Georgia, and you consent to their jurisdiction. Claims must be brought individually, not as part of a class or representative action, to the extent permitted by law.

21. Changes to these terms

We may update these Terms. If a change is material, we will email account holders or post a notice in the app at least 14 days before it takes effect. Continuing to use the Service after that date means you accept the updated Terms.
